Bay Networks, Inc. announced an agreement to acquire the Israeli network resources
management specialist Armon Networking, for $33 Million in cash. Armon uses
RMON-based distributed analysis tools and multi-segment LAN probes to monitor
client/server systems, with its RMON and RMON2 technologies, which Bay Networks
plans to leverage across its entire product line. "Today's network professionals
managing a mix of LAN technologies, multiple protocols and client/server
applications within a constantly evolving infrastructure have a critical need for a
comprehensive and proactive management approach," said Bay Networks President
and CEO Andy Ludwick. "Armon Networking's expertise in advanced RMON and
RMON2 agents and applications is a tremendous complement to our current network
management capabilities. According to Ludwick, Bay plans to use Armon
Networking systems to extend its embedded RMON leadership into the new stackable
probe market, enabling full integrated and open enterprise management.
Armon is a start-up member of the privately held RAD Bynet group. This group has
also recently Lannet Ltd. to Madge Networks. With sales of $5 million in 1995, and
50 employees, Armon Networking will now be integrated into Bay Networks'
network management group, under the name of Bay Networks Israel, Ltd. Armon
Networking President and CEO Yigal Jacoby will join Bay Networks as a vice
president spearheading the company's development efforts targeting open network
management and the remote monitoring market.
