Matav Buys 20% Share of RP Telecom from Trefoil Investors for $27.5 Mln

The fund, managed by a subsidiary of Shamrock Holdings, has made a commitment to dissolve at the end of 1996.

Matav Cable Systems Media signed an agreement with Trefoil Capital Investors on Friday, acquiring its entire holding, 20%, in the Polish communications company RP Telecom, in exchange for $27.495.

Trefoil is a fund with investments in the US and Poland, managed by Shamrock Capital Investments, a subsidiary of Shamrock Holdings, which holds 7% of the company. According to the agreement, Matav will purchase 1,571,650 shares at $17.5 per share. The date determined for the transaction is October 25, 1996.

RP Telecom is a corporation which holds, through subsidiaries, the licenses for the construction and operation of telephony systems in various areas in Poland with more than 7 million residents. Shamrock Holdings will continue to hold about 3% of RP Telecom after the transaction.

Dankner Investments, a party at interest in Matav, holding about 16% of the shares, holds about 23% of RP Telecom. Shamrock Holdings is also a party at interest in Matav.
